I'm pretty sure what they're saying is that the Canadian law that establishes the threshold looks at the value of the assets being sold, as opposed to the price being offered as the deal.

In the realm of Intellectual Property, the value of the patents would be directly related to the money received from royalties based on those patents, which is probably nowhere near the 4 billion that they are being sold for.
